DnD 3.5 Character Death

Two characters in my party died last session. Both of our fighters.

I tried to convince one of them to come back as a divine spellcaster. Hell, I'd take a second arcane spellcaster over two more fighters. The other is definitely coming back melee, apparently as a battlefield control warlord.

I had used up all but two first level spells by the end of the fight. Well, and one cantrip.

My third to last effective spell dropped the enemy to 0, and it used its last action to effectively kill the remaining fighter.

I'm faced with an interesting choice with regards to the spells I select this level. My first fourth level spell can and should be either Celerity or Orb of Force.

Likewise, my third level spell choices are narrowed down to Heart of Water, Dispel Magic, and Shivering touch.

I know I'm facing a black dragon in the near future, since I killed its half-dragon daughter recently.

Shivering Touch WILL incapacitate the dragon if I manage to get close enough to touch it and beat its SR. However, I almost want to hold that spell in reserve for a later emergency. If I don't take Shivering Touch, I need to take Orb of Force, since my only offensive spell that currently bypasses SR is Lesser Orb of Acid, which will do nothing to a Black Dragon.

We tend to get nets thrown on us, and grappled, quite a bit, so if I take Orb of Force, I should choose Heart of Water for my third level spell. Likewise, I should retrain or train into Blindsight as a second level spell, since we encounter a lot of enemies with ridiculously high hide checks.
